  5. LICENSE AGREEMENT
  6. =============================================================
  7. ATTENTION: This License Agreement is a legal agreement between you 
  8. (either an individual or a single entity) and Invention Pilot.
  9. It defines what you may do with the product and contains limitations 
  10. on warranties and/or remedies.  This license is granted by 
  11. Invention Pilot, for all products purchased, either directly or 
  12. though any authorised agent of the company.
  13.  
  14. IMPORTANT:  CAREFULLY READ THIS LICENSE BEFORE USING THIS PRODUCT.
  15. INSTALLING, COPYING, OR OTHERWISE USING THIS PRODUCT INDICATES YOUR
  16. ACKNOWLEDGMENT THAT YOU HAVE READ THIS LICENSE AND AGREE TO ITS TERMS.  
  17. IF YOU DO NOT AGREE, RETURN THE COMPLETE PRODUCT TO INVENTION PILOT 
  18. FOR A FULL REFUND.  THIS LICENSE AGREEMENT IS YOUR PROOF OF LICENSE.  
  19. PLEASE TREAT IT AS VALUABLE PROPERTY.

  21. A.  INVENTION PILOT WILL:
  22.  
  23. Provide you with a computer program (hereafter called the "Program"),
  24. which may also have "online" or electronic documentation, this license 
  25. agreement (hereafter called the "License"), and other printed materials 
  26. (together called the "Product").  Invention Pilot grants you a license
  27. to use the Product in accordance with the terms of this agreement.  
  28. The copyright and all other rights to the Product shall remain with us 
  29. and/or our suppliers. 
  30.  
  31. B.  YOU MAY:  
  32.  
  33. 1. Install and use one copy of the Product only on a single computer or
  34. network.  This copy is to be used by only a single user at a time.  If you
  35. wish to use the Product for more users, you will need an additional license
  36. for each user.
  37. 2. Make one copy of the Product for archive or backup purposes. 
  38. 3. Use a copy of the Product on a home or portable computer if that
  39. copy is never loaded at the same time it is loaded on your primary computer.
  40. 4. Transfer the Product to someone else, only if you assign all of your
  41. rights under this License, cease all use of the Product, erase or destroy
  42. any copy (including the hard disk copy) made in support of your use of the
  43. Product, and ensure that the other person agrees to the terms of this
  44. License.

  46. C.  YOU MAY NOT:

  48. 1. Use the Product or make copies of it except as permitted in this
  49. License. 
  50. 2. Translate, reverse engineer, decompile, or disassemble the Product
  51. except to the extent the foregoing restriction is expressly prohibited by
  52. applicable law.
  53. 3. Rent, lease, assign, or transfer the Product except as set out in
  54. paragraph B above.
  55. 4. Modify the Product or merge all or any part of the Product with
  56. another program.

  58. D.  TERM:  
  59.  
  60. This License shall continue for as long as you use the Product.  However, it
  61. will terminate if you fail to comply with any of its terms or conditions.
  62. You must agree, upon termination, to destroy all copies of the Product.  The
  63. Limitations of Warranties and Liability set out below shall continue in
  64. force even after any termination.

  66. E.  WARRANTY:

  68. We warrant that the Product will perform substantially in accordance with 
  69. the accompanying materials for a period of ninety days from the date you 
  70. acquire it.  If such a defect occurs, it will be replaced free of charge. 
  71. This remedy is your exclusive remedy for breach of this warranty. It gives 
  72. you certain rights and you may have other legislated rights, which may vary 
  73. from jurisdiction to jurisdiction.

  75. F.  LIMITATION OF WARRANTIES AND LIABILITY:

  77. Except for the express warranty above, the product is provided on an "as is"
  78. basis, without any other warranties or conditions, expressed or implied,
  79. including, but not limited to, warranties of merchantable quality,
  80. merchantability or fitness for a particular purpose, or those arising by
  81. law, statute, usage of trade, or course of dealing.  The entire risk as to
  82. the results and performance of the product is assumed by you.  Neither we
  83. nor our dealers or suppliers shall have any liability to you or any other
  84. person or entity for any indirect, incidental, special, or consequential
  85. damages whatsoever, including, but not limited to, loss of revenue or
  86. profit, lost or damaged data or other commercial or economic loss, even if
  87. we have been advised of the possibility of such damages, or they are
  88. foreseeable.  We are also not responsible for claims by any third party.
  89. Our maximum aggregate liability to you and that of our dealers and suppliers
  90. shall not exceed the amount paid by you for the product.

  92. G.  GENERAL:

  94. This License is the entire agreement between us, superseding any other
  95. agreement or discussions, oral or written, and may not be changed except by
  96. a signed agreement.
